Ramp
Senior Corporate Paralegal
Overview
We're looking for a Senior Corporate Paralegal to join Ramp's Legal team and own the operational backbone of how we govern and structure the company. Ramp runs a growing portfolio of U.S. and non-U.S. entities — including regulated and licensed subsidiaries — across a business that ships constantly and raises, acquires, and expands on short notice.
About Ramp
Ramp is building the smart infrastructure for finance teams, embedded in the transaction flow of every dollar a business spends. We automate how over $200B in annualized spend flows in and out of 70,000+ companies: authorizing payments, flagging risk, categorizing spend, and closing books.
Requirements & Eligibility
- 6+ years of corporate paralegal experience at a major law firm and/or in-house at a high-growth technology or financial services company
- Deep working knowledge of corporate governance, entity formation and maintenance, corporate recordkeeping, and secretary's office functions
- Excellent drafting skills across resolutions, consents, certificates, and corporate documentation
- Demonstrated ability to independently run multiple time-sensitive workstreams
- Strong written and verbal communication skills
- Comfort operating in a fast-paced environment
- High judgment around confidential and sensitive corporate information
- Bachelor's degree or equivalent practical experience
Key Responsibilities
- Prepare board and stockholder meeting materials, agendas, minutes, written consents, resolutions, secretary's certificates, and incumbency certificates
- Own the full lifecycle of entity administration — formations and dissolutions, foreign qualifications, annual reports, franchise tax filings, and registered agent management
- Respond to KYC/UBO and diligence requests from bank partners, regulators, auditors, insurers, and counterparties
- Support equity administration, option and RSU grants, board approvals of equity awards, secondaries, and equity plan recordkeeping
- Run diligence support, signature collection, closing checklists, closing binders, and post-closing obligations
- Assist with powers of attorney, delegations of authority, and corporate approvals needed by the business
- Support employment- and immigration-related requests and filings
- Support subpoena and law enforcement requests, legal holds, e-discovery, and document production
